2. CONTRACT FORMATION & ACCEPTANCE<\/h3>\n\n\n\n

2.1. Legal Nature<\/strong>
2.1.1. This Agreement constitutes a legally binding Distance Contract under Latvian and European Union law.<\/p>\n\n\n\n

2.2. Execution of Agreement<\/strong>
2.2.1. The Agreement is legally activated upon the occurrence of any of the following:
a) Completion of the digital checkout process and successful payment;
b) Explicit written affirmation via email (e.g., “I agree to the terms”);
c) Payment of a manual invoice (constituting a digital signature of acceptance).<\/p>\n\n\n\n

2.3. Mandatory Consent Mechanics<\/strong>
2.3.1. Acceptance via the website requires an active, non-pre-checked checkbox.
2.3.2. Consent to these Terms must be collected independently of marketing consents.<\/p>\n\n\n\n

3. SCOPE OF SERVICES & AUTHORIZATIONS<\/h3>\n\n\n\n

3.1. Service Definitions<\/strong>
3.1.1. Services include web hosting, domain registration, vServers, and managed infrastructure.
3.1.2. Managed Services:<\/strong> Support provided by dedicated personnel. Telephonic support is permitted only if scheduled in advance via email or SMS.<\/p>\n\n\n\n

3.2. COMPREHENSIVE POWER OF ATTORNEY (PILNVARA)<\/strong>
3.2.1. Grant of Authority:<\/strong> The Client grants IVJ Group SIA an irrevocable Power of Attorney to act as the Client\u2019s legal proxy.
3.2.2. Registry Agreement Execution:<\/strong> The Provider is authorized to execute contracts in the Client’s name with NIC.LV<\/strong> (University of Latvia MII), Traficom<\/strong> (Finnish Transport and Communications Agency), and other ICANN-accredited registries.
3.2.3. Binding Acceptance:<\/strong> By ordering a domain, the Client acknowledges that the Provider acts as an intermediary and that the Client is directly bound by:<\/p>\n\n\n\n

For .FI domains:<\/strong> The Traficom Domain Name Regulations<\/a>.
3.2.4. Data Transfer to Registries:<\/strong> The Client consents to the transfer of their personal or corporate identity data to these registries as required by law for the “WHOIS” and RDAP databases.<\/p>\n\n\n\n

For .LV domains:<\/strong> The NIC.LV Terms of Use<\/a>.<\/p>\n\n\n\n

4. PAYMENTS & FINANCIAL COMPLIANCE<\/h3>\n\n\n\n

4.1. General Terms<\/strong>
4.1.1. All services are subject to full pre-payment before activation. All prices are in EUR (\u20ac).<\/p>\n\n\n\n

4.2. Maksekeskus Disclosure<\/strong>
4.2.1. Payment processing is provided by the platform makecommerce.lv; therefore, our company transfers personal data necessary for the execution of payments to the platform owner Maksekeskus AS<\/strong>.<\/p>\n\n\n\n

4.3. B2B VAT 0% (EU Reverse Charge)<\/strong>
4.3.1. For B2B transactions claiming 0% VAT under the EU Reverse Charge mechanism, payment is strictly permitted only via SEPA Bank Transfer<\/strong>. Card or gateway payments for 0% VAT invoices are prohibited.<\/p>\n\n\n\n

4.4. Chargeback Policy:<\/strong> Any “Unjustified Chargeback” initiated via a bank or payment processor will result in immediate account termination. The Provider reserves the right to charge an administrative fee of \u20ac100.00<\/strong> to cover the cost of dispute representation.<\/p>\n\n\n\n

5. SERVICE LEVEL AGREEMENT (SLA) & LIABILITY<\/h3>\n\n\n\n

5.1. Limited Liability:<\/strong> Liability is strictly capped at a service credit for the downtime period if annual uptime falls below 99,8%<\/strong>.
5.2. Disclaimers:<\/strong>
5.2.1. No liability for data loss. Client must maintain off-site backups.<\/strong>
5.2.2. No liability for third-party (OVH\/Cloudflare) outages.<\/p>\n\n\n\n

6. VERIFICATION, REFUSAL & DATA RETENTION<\/h3>\n\n\n\n

6.1. Right of Refusal<\/strong>
6.1.1. The Provider reserves the absolute right to refuse service or request identity verification (ID) if a transaction triggers internal risk markers.
6.1.2. Mandatory ID Verification:<\/strong> Required for all clients residing or registered outside the EU\/EEA.<\/p>\n\n\n\n

6.2. Retention Schedule<\/strong>
6.2.1. Accounting Data:<\/strong> 10 years (non-deletable per Latvian Law).
6.2.2. Client Affiliation Data:<\/strong> Duration of service plus 5 years thereafter.
6.2.3. Identity Scans:<\/strong> Deleted within 90 days following successful verification.
6.2.4. Hosting\/vServer Content:<\/strong> Webhosting data is deleted 30 days after expiration; vServer data is deleted 60 days after expiration.<\/p>\n\n\n\n

6.3. Authority Requests:<\/strong> Data will be shared with Latvian authorities (DVI, Police, SPRK) upon legal request. We will attempt to inform the Client unless legally restricted.<\/p>\n\n\n\n

7. ACCEPTABLE USE POLICY (AUP)<\/h3>\n\n\n\n

7.1. Prohibited Activities<\/strong>
7.1.1. Use of infrastructure for Malware, Phishing, DDoS, or Spam (including via OVH SAS infrastructure) is strictly forbidden.
7.1.2. Grey Area Enforcement:<\/strong> The Provider remains the sole arbiter of what constitutes “suspicious” or “high-risk” activity.
7.1.3. Penalties:<\/strong> Violations result in immediate suspension, permanent blocks, and an administrative investigation fine of at least \u20ac50.00<\/strong>.<\/p>\n\n\n\n

9. FINAL PROVISIONS<\/h3>\n\n\n\n

9.1.1. This Agreement is governed by the laws of the Republic of Latvia.
9.1.2. External Policies:<\/strong> The Client expressly agrees to comply with the external dispute resolution policies of NIC.LV<\/strong> and the domain name policies of Traficom<\/strong>. Failure to comply with these third-party registry rules may result in immediate domain suspension by the registry, for which IVJ Group SIA<\/strong> holds no liability.
9.1.3. Conflict of Terms:<\/strong> In the event of a conflict between this MSeA and the specific regulations of NIC.LV<\/strong> or Traficom<\/strong> regarding a specific domain extension, the Registry’s regulations shall prevail.
9.1.4. Assignment of Rights and Obligations:<\/strong> Neither party may assign this Agreement or delegate its obligations hereunder without the prior written consent of the other party, except that<\/strong> we may assign this Agreement to an affiliate or successor, in case of an restructuring.<\/p>\n\n\n\n

WEBHOSTING SERVICE ADDENDUM (WSeA)<\/summary>\n

WEBHOSTING SERVICE ADDENDUM<\/p>\n\n\n\n

To be used in conjunction with MSeA v1.0<\/strong><\/p>\n\n\n\n

1. INTERORDINATION<\/h3>\n\n\n\n

1.1. This Webhosting Agreement (hereinafter \u2013 \u201cAddendum\u201d) is an integral part of the Master Service Agreement (MSeA). By activating webhosting services, the Client explicitly agrees to follow all provisions of the MSeA. <\/p>\n\n\n\n

1.2. In the event of a conflict between this Addendum and the MSeA regarding hosting specifics, the provisions of this Addendum shall prevail.<\/p>\n\n\n\n

2. BILLING MODEL & VARIABLE PRICING<\/h3>\n\n\n\n

2.1. Contract-Based Invoicing:<\/strong> Billing is initiated immediately following the issuance of the signed or digitally accepted contract. Payment is a prerequisite for service continuity. 2.2. Price:<\/strong> As discussed and agreed upon via prior email correspondence, the service operates on a variable “Pay-As-You-Go” or Fixed Price model.
2.3. Annual Price Adjustments:<\/strong> The Provider reserves the unilateral right to adjust pricing annually. Adjustments (increases or decreases) will be calculated based on:<\/p>\n\n\n\n

  • Total bandwidth (traffic) consumption;<\/li>\n\n\n\n
  • Storage space utilization;<\/li>\n\n\n\n
  • CPU\/RAM resource allocation;<\/li>\n\n\n\n
  • External infrastructure cost fluctuations (OVH\/Cloudflare).
    2.4. Notification:<\/strong> Clients will be notified of price adjustments for the following year at least 30 days prior to the new billing cycle.<\/li>\n<\/ul>\n\n\n\n

    3. CANCELLATION & TERMINATION POLICY<\/h3>\n\n\n\n

    3.1. Standard Notice Period:<\/strong> To terminate this service, the Client must provide written notice (via registered email) at least 6 months<\/strong> prior to the intended termination date.
    3.2. Fixed Term Fulfillment:<\/strong> If the Client has prepaid for a 12-month cycle, the service will remain active for the full duration of those 12 months. No early termination by the Client shall shorten this period.
    3.3. No Refunds:<\/strong> Under no circumstances shall the Provider be obligated to issue a refund for prepaid services, setup fees, or unused portions of a billing cycle.<\/p>\n\n\n\n

    4. DATA HANDLING UPON EXIT<\/h3>\n\n\n\n

    4.1. Pursuant to Section 6.2.4 of the MSeA, all website files, databases, and associated data will be permanently purged from the Provider\u2019s servers 30 days<\/strong> after the final date of service. The Client is responsible for data migration prior to this deadline.<\/p>\n<\/details>\n\n\n\n

    DOMAIN SERVICE ADDENDUM (DSeA)<\/summary>\n

    Version: 1.0 | Effective Date: April 20, 2026
    This Addendum is a supplementary agreement to the NodePillar Master Service Agreement
    (MSeA). Use of Domain Registration Services constitutes acceptance of both the MSeA and this
    DSeA.<\/p>\n\n\n\n

      \n
    1. ROLE OF PROVIDER
      1.1. Intermediary Status: IVJ Group SIA (NodePillar) acts as a Registrar. The Client
      acknowledges that the actual registration of a domain name is subject to the policies of the
      respective Registry (e.g., NIC.LV for .lv, Traficom for .fi, ICANN for gTLDs).
      1.2. Power of Attorney: As stipulated in MSeA Section 3.2, the Client grants the Provider authority
      to manage registrations on their behalf.<\/li>\n\n\n\n
    2. REGISTRATION & DATA ACCURACY
      2.1. WHOIS Requirements: The Client must provide accurate, current, and complete contact
      information. Failure to do so may result in immediate domain suspension by the Registry.
      2.2. Verification: Certain extensions require email verification within 15 days of registration. Failure
      to verify results in the domain being placed on “ClientHold” status (inaccessible).<\/li>\n\n\n\n
    3. PAYMENTS, RENEWALS & EXPIRATION
      3.1. Prepayment: No domain will be registered or renewed without confirmed receipt of payment.
      3.2. Renewal Responsibility: While NodePillar sends automated reminders, the ultimate
      responsibility for ensuring a domain is renewed lies with the Client.
      3.3. Redemption Phase: If a domain expires, it enters a “Redemption Grace Period.” Recovering a
      domain in this phase usually incurs significantly higher fees (Redemption Fees), often exceeding
      \u20ac100.00, depending on the Registry.<\/li>\n\n\n\n
    4. TRANSFERS & DELETIONS
      4.1. Auth-Codes: Transfer codes (EPP\/Auth-Code) will be provided upon request, provided all
      outstanding invoices are settled.
      4.2. Transfer Restrictions: Newly registered domains are often locked for transfer for 60 days per
      ICANN regulations.<\/li>\n\n\n\n
    5. LIABILITY LIMITATION
      5.1. No Guarantee: The Provider does not guarantee that a requested domain name is available
      or will be successfully registered, even if the system shows it as available.
      5.2. Registry Actions: The Provider is not liable for actions taken by the Registry, including but not
      limited to domain seizures, suspensions, or price increases.<\/li>\n<\/ol>\n\n\n\n

      6.DISPUTE RESOLUTION
      6.1. UDRP\/URS: The Client agrees to be bound by the Uniform Domain Name Dispute Resolution
      Policy (UDRP) for any trademark conflicts.<\/p>\n\n\n\n

      7. MANDATORY REGISTRY STANDARDS (NIC.LV)<\/strong><\/p>\n\n\n\n

      7.1. DNS Management:<\/strong> DNS modifications submitted via the NodePillar dashboard are processed automatically. In cases requiring manual verification, processing will be completed within one (1) business day<\/strong>.<\/p>\n\n\n\n

      7.2. Domain Transfers:<\/strong> Requested Auth-Codes for .lv domains will be issued within one (1) business day<\/strong>, provided no material breach of contract or outstanding debt exists.<\/p>\n\n\n\n

      7.3. Data Integrity:<\/strong> In accordance with NIC.LV regulations, the Provider is mandated to verify the identity of the Registrant. The Client agrees to provide necessary documentation upon request within 48 hours to avoid domain suspension.<\/p>\n<\/details>\n\n\n\n

      IVJ-FINR-0001 v1<\/summary>\n

      This internal regulation document defines the financial framework for all transactions managed by IVJ Group SIA<\/strong> specifically for the NodePillar<\/strong> brand:<\/p>\n\n\n\n

      Applicability:<\/strong> These terms are issued by IVJ Group SIA (Registration No. 40203685840) and apply to all NodePillar (Registration No. 91442584887) service agreements.<\/p>\n\n\n\n

      Payment Model:<\/strong> The standard procedure for all services is 100% prepayment<\/strong>. Services are only provisioned or renewed upon receipt of funds.<\/p>\n\n\n\n

      Payment Extensions:<\/strong> Under specific evaluation (case-by-case), IVJ Group SIA may authorize a scheduled payment term of 14 days<\/strong>.<\/p>\n\n\n\n

      Currency Standard:<\/strong> All invoicing is conducted in EUR<\/strong>.<\/p>\n\n\n\n

      Foreign Currency Surcharge:<\/strong> If a client pays in a currency other than Euro, a fee of up to 4%<\/strong> may be applied to cover bank conversion fees and exchange rate volatility.

      Payment Verification:<\/strong> To ensure timely processing and allocation of services, all payments for NodePillar<\/strong> invoices must be made from a bank account held in the name of the contracted client (either the individual\u2019s full name or the registered company name). Payments received from third-party accounts not explicitly linked to the service agreement may be subject to additional verification delays or rejection.<\/p>\n<\/details>\n\n\n\n

      • 1.2. Conflict of Terms:<\/strong> In the event of a conflict between this Addendum and the MSeA regarding email specifics, the provisions of this Addendum shall prevail.<\/li>\n\n\n\n
      • 1.3. Intermediary & Reseller Status:<\/strong> The Client acknowledges and agrees that the NodePillar E-Mail service is provisioned via the white-labeled resale of OVH SAS<\/strong> infrastructure (specifically OVH Email Pro<\/em> or equivalent corporate email architectures). IVJ Group SIA acts as a technical intermediary and administrator. The physical hosting, data storage infrastructure, and routing of email traffic are executed by OVH SAS.<\/li>\n<\/ul>\n\n\n\n

        2. BILLING MODEL & VARIABLE PRICING<\/h3>\n\n\n\n

        • 2.2. Price Structure:<\/strong> As discussed and agreed upon via prior email correspondence, the service operates on a variable \u201cPay-As-You-Go\u201d or Fixed Price model based on the total number of provisioned mailboxes and allocated storage quotas.<\/li>\n\n\n\n
        • 2.3. Infrastructure Adjustments:<\/strong> The Provider reserves the unilateral right to adjust pricing annually. Adjustments (increases or decreases) will be calculated based on:\n

          • Total number of active mailboxes;<\/li>\n\n\n\n
          • Cumulative storage space utilization;<\/li>\n\n\n\n
          • External infrastructure and licensing cost fluctuations dictated by OVH SAS<\/strong>.<\/li>\n<\/ul>\n<\/li>\n\n\n\n
          • 2.4. Notification:<\/strong> Clients will be notified of price adjustments for the following year at least 30 days prior to the new billing cycle.<\/li>\n<\/ul>\n\n\n\n

              4. DATA HANDLING, PRIVACY & EXIT<\/h3>\n\n\n\n

              • 4.1. Purge Schedule:<\/strong> Pursuant to Section 6.2.4 of the MSeA, all emails, attachments, user profiles, and logs will be permanently and irreversibly purged from the servers 30 days after the final date of service termination.<\/li>\n\n\n\n
              • 4.2. Migration Responsibility:<\/strong> The Client bears sole responsibility for executing complete IMAP\/POP3 backups or external data migrations prior to the end of the service contract.<\/li>\n\n\n\n
              • 4.3. Data Location:<\/strong> The Client acknowledges that email data is stored within European Union data centers operated by OVH SAS, in compliance with GDPR.<\/li>\n<\/ul>\n\n\n\n

                5. ANTIM-SPAM & ACCEPTABLE USE POLICY (AUP)<\/h3>\n\n\n\n
                  \n
                • 5.1. Strict Spam Prohibition:<\/strong> The use of NodePillar E-Mail infrastructure for bulk marketing, unsolicited commercial email (UCE\/Spam), phishing, or distribution of malware is strictly forbidden.<\/li>\n\n\n\n
                • 5.2. Technical Thresholds:<\/strong> The Client must adhere to the volume, rate-limiting, and concurrent connection thresholds established by the upstream provider (OVH SAS).<\/li>\n\n\n\n
                • 5.3. Upstream Blacklisting & Penalties:<\/strong> If the Client\u2019s sending behavior causes an IP address blocklist or triggers security infrastructure flags at OVH SAS:\n
                    \n
                  • The Provider will immediately suspend the offending mailbox(es).<\/li>\n\n\n\n
                  • An administrative cleanup and investigation fine of at least \u20ac50.00 will be levied per instance.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n

                    6. LIABILITY LIMITATION & SLA DISCLAIMER<\/h3>\n\n\n\n
                      \n
                    • 6.1. Upstream Dependency:<\/strong> Because the service is built upon OVH SAS infrastructure, IVJ Group SIA holds no liability for service interruptions, mail routing delays, network degradation, or security breaches originating directly from OVH SAS facilities or software.<\/li>\n\n\n\n
                    • 6.2. Data Loss & Redundancy:<\/strong> While the service employs baseline enterprise storage architecture, the Provider does not guarantee permanent storage against catastrophic system failure. The Client is strongly advised to maintain local archiving solutions.<\/li>\n<\/ul>\n\n\n\n
